Client Property

Clients retain ownership of their existing content, branding, and materials. We will not use client materials for other purposes without permission.

6. Confidentiality

Both parties agree to keep confidential information private. This includes business strategies, analytics data, pricing, and proprietary methods. Confidentiality obligations survive termination of services.

7. Disclaimers

No Guarantee of Rankings

While we employ industry best practices, we cannot guarantee specific search engine rankings. Search algorithms are controlled by third parties and subject to change without notice.

Third-Party Dependencies

Our services may depend on third-party platforms (Google, Bing, etc.). We are not responsible for changes to their policies, algorithms, or availability.

8. Limitation of Liability

To the maximum extent permitted by law, RankBrain shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless RankBrain and its employees from any claims, damages, or expenses arising from your use of our services or violation of these terms.

10. Termination

• Either party may terminate with 30 days written notice
• We may terminate immediately for material breach
• Upon termination, outstanding fees become immediately due
• Work completed before termination remains billable

11. Dispute Resolution

Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration under the rules of the London Court of International Arbitration.

12. Governing Law

These Terms are governed by the laws of England and Wales. You consent to the exclusive jurisdiction of courts located in London, UK.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of services after changes constitutes acceptance.
