By accessing and using our website, you agree to use it only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use of the website. Specifically, you agree not to:

• Use the website in any way that violates applicable local, state, national, or international law
• Attempt to gain unauthorized access to any part of the website, server, or database
• Introduce viruses, trojans, worms, or other malicious or technologically harmful material
• Scrape, data-mine, or use automated tools to access the website without our written consent
• Reproduce, duplicate, copy, or resell any part of the website content without permission

Client Responsibilities

As a client, you agree to:

• Provide timely access to necessary resources, accounts, and information required for service delivery
• Review and approve deliverables within the agreed timeframes
• Maintain accurate website access credentials and grant necessary permissions
• Communicate any changes in business direction, branding, or priorities that may affect project scope
• Ensure all content and materials provided to us do not infringe on third-party rights

Our Responsibilities

We commit to:

• Deliver services professionally and in accordance with the agreed scope
• Provide regular progress reports and transparent communication
• Use industry best practices and ethical SEO techniques (white-hat methods only)
• Protect your confidential information and data

• Fees: All fees are as specified in your service agreement or proposal
• Invoicing: Invoices are issued monthly or as defined in your service agreement
• Due date: Payment is due within 15 days of invoice unless otherwise agreed in writing
• Late payment: Overdue payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower
• Suspension: We reserve the right to suspend services for accounts with payments overdue by more than 30 days
• Taxes: All fees are exclusive of applicable taxes, which are your responsibility

Our Property

The content, layout, design, data, databases, graphics, and all materials on this website are protected by intellectual property laws and are owned by or licensed to RankBrain Solutions. All proprietary methodologies, tools, templates, frameworks, and processes developed by us remain our exclusive property.

Upon full payment, clients receive a non-exclusive, non-transferable license to use deliverables created specifically for them for their business purposes.

Client Property

Clients retain full ownership of their existing content, branding, logos, and materials. We will not use client materials for any purpose other than providing the agreed services without explicit written permission.

Both parties agree to treat all non-public information received from the other party as confidential. This includes, but is not limited to:

• Business strategies, plans, and financial information
• Analytics data, keyword research, and competitive analysis
• Pricing, proposals, and commercial terms
• Proprietary methods, processes, and trade secrets
• Customer lists and personal data

Confidentiality obligations survive the termination of services for a period of two (2) years, unless the information becomes publicly available through no fault of the receiving party.

No Guarantee of Rankings

While we employ industry best practices and proven strategies, we cannot and do not guarantee specific search engine rankings, traffic volumes, or conversion rates. Search engine algorithms are controlled by third parties (Google, Bing, etc.) and are subject to change without notice. SEO is an ongoing process and results may vary based on many factors outside our control.

Third-Party Dependencies

Our services may depend on third-party platforms, tools, and services. We are not responsible for changes to their policies, algorithms, pricing, or availability. We will make reasonable efforts to adapt our strategies in response to significant third-party changes.

Website Disclaimer

The information on this website is provided on an "as is" basis for general information purposes only. We make no warranties or representations of any kind, express or implied, about the completeness, accuracy, reliability, or suitability of the information, products, or services contained on the website.

You agree to indemnify, defend, and hold harmless RankBrain Solutions, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of our website or services
• Your violation of these Terms & Conditions
• Your violation of any third-party rights
• Any content or materials you provide to us

• By either party: Either party may terminate the service agreement with 30 days' written notice
• Immediate termination: We may terminate immediately if you commit a material breach that remains uncured after 14 days' written notice
• Outstanding fees: Upon termination, all outstanding fees for work completed become immediately due and payable
• Work in progress: Any work completed prior to the effective date of termination remains billable at the agreed rates
• Data return: Upon request, we will provide a reasonable transition period to hand over access credentials and deliverables

In the event of any dispute arising out of or relating to these terms, the parties agree to the following process:

• Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days
• Mediation: If negotiation fails, the parties shall attempt to resolve the dispute through mediation before a mutually agreed mediator
• Arbitration: If mediation fails, the dispute shall be submitted to binding arbitration in accordance with applicable arbitration rules

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any legal proceedings arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts in India.

We reserve the right to modify these Terms & Conditions at any time. Material changes will be communicated via email or a prominent notice on our website.
